Turkticaret.Net Yazılım Hizmetleri Sanayi ve Ticaret Anonim Şirketi Lock&Key Üyelik Sözleşmesi

PARTIES

This Membership Agreement (“Agreement”) is concluded between Turkticaret.Net Yazılım Hizmetleri San. ve Tic. A.Ş., located at Esentepe Mahallesi Harman 1 Sokak, Harmancı Giz Plaza Apt. No: 5/28 Şişli/İstanbul (“Turkticaret.Net”) and the person whose information is declared in the "Create Account" area (" Member") within the framework of the following terms and conditions, and regulates the terms and conditions regarding the Member's membership to the Platform.
Within the scope of this Agreement, Turkticaret.Net and Member shall be referred to separately as “Party” and together as “ Parties”.
Within the scope of this Agreement, the Member who will benefit from the Platform will become a member of the Platform by entering their information correctly and completely in the account creation section according to the membership method and by marking the registration areas, and this Agreement will enter into force. Member accepts that they are obliged to act in accordance with the regulations in the Agreement.

DEFINITIONS

Platform: Refers to the mobile application named “Lock & Key”, all virtual reality environments where the mobile application software running on websites and mobile devices and the products and services created in connection with this software are offered, all rights of which belong to Turkticaret.Net, especially all intellectual and industrial property rights.
Member: Refers to the persons who benefit from the services offered by Turkticaret.Net within the conditions specified in this Agreement.
Passwords: Refers to the information known only by the Member, such as username, e-mail address, password, code, which allows the Member to access and log in to the Portal and other Platform interfaces and areas.
Communication Channels: Refers to communication mediums such as push notifications, e-mail, SMS, MMS, and telephone notifications.
Portal: Refers to the personal page named My Profile within the Platform, where the Member logs in only using Passwords and performs transactions and operations related to mobile application membership.

SUBJECT AND SCOPE OF THE AGREEMENT

The subject of this Agreement is the determination of the procedures and principles regarding the use of the mobile application and related digital services offered to the Member within the scope of the Platform developed and operated by Turkticaret.Net, the Member's membership to the Platform, the terms and conditions of use of the Platform, and the mutual rights and obligations of the Parties.
The services offered within the scope of the Platform may include functions such as locking and/or accessing the applications determined by the Member on their own mobile device within the framework of the periods, modes and settings selected by the Member, viewing usage habits, reporting and providing information to the Member. The scope of these services may differ for free (freemium) and paid (premium) modes.
Turkticaret.Net reserves the right to completely or partially change, update, stop or add new services and modules to the content, features, modules and technical operation of the services offered within the scope of the Platform, provided that they are in accordance with the legislation.
Member accepts that the Platform does not offer a health service, psychological counseling, therapy, education guarantee or academic success commitment service, and that the services offered through the Platform are of an auxiliary nature to support focus and time management through digital tools in line with the personal preferences of the Member.
Within the scope of this Agreement, the Member knows and accepts that this Agreement will enter into force with the creation of their membership and the approval of this Agreement in an electronic environment, and that they are obliged to act in accordance with the regulations in this Agreement and the rules published on the Platform.
In case the Platform is visited without becoming a member, the terms and conditions stipulated for Members in this Agreement will automatically apply to visitors to the extent applicable, and in these cases, the relevant regulations of this Agreement will come into force together with the use of the Platform.

MEMBERSHIP AND ACCOUNT CREATION

In order to benefit from the Platform, the Member must create a membership through the "Create Account" area on the Platform, in accordance with the procedures and principles specified in this Agreement.
Membership can be carried out using one of the membership methods offered on the Platform. In this context, membership can be created via Apple ID, Google account (Gmail), phone number, form, e-mail address or other methods that may be offered by Turkticaret.Net in the future.
The membership of the person who provides the necessary information to become a member and applies for membership will be activated following the receipt and evaluation of the application by Turkticaret.Net and the completion of the activation process transmitted to the Member, and following the activation, the Member will be able to use the Platform and create content on the Platform.
Member accepts, declares and undertakes that the information and data declared to the Platform during the membership creation stage are correct, up-to-date and belong to them, and that they are responsible for all legal, administrative and criminal responsibility that may arise in case this information is incomplete, incorrect or belongs to third parties.
Member accepts, declares and undertakes that the account created for access and use of the Platform is personal, that they will not share it with third parties, will not allow it to be used, and that all transactions carried out through the account will be deemed to have been made by them.
Member is obliged to ensure the confidentiality of the Passwords used to access their account. In case the Passwords are captured by unauthorized persons, lost or used by third parties, the Member is obliged to report the situation immediately to Turkticaret.Net.
In case the same Member creates more than one membership account or opens more than one account with different membership methods, Turkticaret.Net reserves the right to combine, suspend or terminate these accounts.
Turkticaret.Net reserves the right to temporarily suspend or permanently close the Member's account in cases of mandatory circumstances arising from the legislation or the technical operation of the Platform, and in cases where there is suspicion of security, abuse, unlawfulness or breach of the Agreement.

RIGHTS AND OBLIGATIONS OF THE PARTIES

Member shall comply with this Agreement and the conditions that may be published on the Platform from time to time, as well as the law, morality and ethics, and principles of honesty in all transactions they carry out on the Platform, and shall not engage in behaviors that may obstruct the operation of the Platform by any method, or acts that violate or have the danger of violating the rights of third parties.
Member provides the information requested by Turkticaret.Net when becoming a member of the Platform and during their membership in a complete, accurate, lawful and up-to-date manner.
Member must have a suitable device and internet connection in order to benefit from the services offered through the Platform. Turkticaret.Net does not provide the Member with a device, internet connection and similar tools to benefit from the Platform.
Member accepts in advance that they have the necessary legal capacity and all kinds of authority to be a party to the Agreement, that they will continue to have it during the Agreement period, and that they will take all kinds of responsibility regarding the actions they will carry out. Member undertakes that the account on the Platform can only belong to them and that they will not operate any imitation/fake/third party account.
In case of any change in the information provided during the creation of a membership or at other times to benefit from the Platform, the Member shall immediately update the said information. Turkticaret.Net is not responsible for the inability to benefit from the Platform for its purpose due to the provision of this information incompletely or contrary to reality or its being not up-to-date. It is the responsibility of the Member to complete the processes that Turkticaret.Net will establish to ensure the currency and accuracy of the personal data.
The Member who is a member of the Platform is personally responsible for the use and management of all Passwords, including the accounts, username and password that allow the use of the Platform. Every transaction carried out with the account, username and password belonging to the Member will be considered to have been carried out by the Member themselves, and the Member will be exclusively responsible for the damages suffered by the Member and/or third parties due to the use of this information by a person other than the Member, its loss or change of hands. When the Member becomes aware of the unauthorized use of their password or other violation of security, they will report this situation immediately to Turkticaret.Net. Member cannot transfer their created accounts, username and password and membership profiles to another user or allow their use by third parties under any terms and conditions.
Member accepts, declares and undertakes that the modules and features offered within the scope of the Platform operate in line with their own preferences, that functions such as locking, opening, reporting and similar take place within the framework of the settings and periods determined by the Member, and that the responsibility for the results arising from these settings belongs to them.
Member accepts that the reports, notifications and analyses offered through the Platform are for informational purposes, and that these contents do not carry the character of absolute accuracy, definite result, performance increase, success guarantee or safe driving commitment.
In case the Member benefits from the free (freemium) or paid (premium) versions of the Platform, they are obliged to comply with the relevant terms of use, limits and pricing principles.
Copying and/or using information and/or software used in the design, content and database creation of the Platform beyond benefiting from the Platform, copying, distributing, processing and using in other ways all kinds of pictures, texts, images, files etc. data contained in the Platform is strictly prohibited. Also, (i) Member making any attempt that may threaten the security of the Platform, prevent the operation of the software belonging to the Platform or prevent other Members from benefiting from the Platform, (ii) loading disproportionate load on the Platform in a way to produce these results, accessing information in the Platform and/or entered by others in an unauthorized way, copying, deleting, changing this information or making attempts in this direction, (iii) acting in a way that will threaten the general security of the Platform and/or may harm the Platform, Turkticaret.Net and other members, (iv) using or attempting to use software that will prevent the operation of the Platform and the software used, or disrupting the operation of all kinds of software, hardware and servers, causing corruption, reverse engineering, accessing source codes, organizing attacks, occupying or intervening in other ways, trying to gain access to Turkticaret.Net's servers is strictly prohibited.
Member accepts that access to the Platform may be temporarily blocked for the implementation of maintenance, updates, improvements and other changes to be made on the Platform.
Turkticaret.Net reserves the right to unilaterally change, add to or renew this Agreement and other conditions published via the Platform at any time without showing any reason and without any notice, and to reorganize the Platform, change its subject, scope and content, stop the publication or use. The changes made by Turkticaret.Net on the Agreement and other conditions will enter into force on the date they are published on the Platform, and the Member is deemed to have accepted the current conditions with the continued use of the Platform. Member will be personally and exclusively responsible for following such documents regularly.
All kinds of legal, administrative and criminal responsibility arising from the use of the Platform and the transactions carried out within the scope of the Platform as a Member belongs personally and exclusively to the Member. Turkticaret.Net cannot be held responsible in any way directly and/or indirectly for the damages suffered or that may be suffered by third parties as a result of the activities carried out by the Member on the Platform and/or their actions contrary to this Agreement and the law. All kinds of requests that will come from third parties in this context and the direct and indirect damages that Turkticaret.Net will suffer due to the Member's failure to fulfill their obligations specified in the Agreement or relevant legislation will be recourse to the Member to be paid together with its accessories upon the first request.
Member undertakes that in case free entry areas that can be viewed by Members and/or Turkticaret.Net are provided while using the Platform, they will not include expressions containing special categories of personal data as defined within the scope of the Personal Data Protection Law No. 6698, and they will not include expressions containing criminal elements, carrying content contrary to general morality and/or legislation or violating the rights of third parties in any way in such areas.
In case Turkticaret.Net develops suspicion/detection regarding the abuse of the Platform due to repeated complaints or other reasons for a certain Member, or behaviors that endanger the security of the Platform or negatively affect the experience of other members and/or in case of violation of this Agreement or the legislation, Turkticaret.Net may suspend or prevent the Member's use of the Platform at its own discretion. Member cannot have any request from Turkticaret.Net for this reason. In addition, the Member accepts and undertakes to act in accordance with all the provisions of the Licensed Application End User License Agreement (“EULA”), which can be accessed from https://www.apple.com/legal/internet-services/itunes/dev/stdeula/ and published by Apple as applicable, and this Agreement in case the Platform is obtained through the Apple App Store and/or used through Apple devices. Member also accepts and undertakes not to cause objectionable content or malicious behavior. In case the Member acts contrary to this article, Agreement provisions and/or EULA or fails to comply with these obligations, Turkticaret.Net may unilaterally terminate the Agreement. In this case, Member accepts in advance that they cannot demand any right or compensation.
Turkticaret.Net reserves the right to block the Member's account, temporarily suspend its use or permanently close it in the event that the Platform is detected to be used in violation of this Agreement, Platform rules or applicable legislation, including but not limited to the situations listed below.

Fraudulent or Misleading Activities:

Creating membership or updating account information with fake, incomplete or third-party information and data.
Unauthorized use of identity, contact or account information belonging to third parties.
Engaging in attempts to mislead the operation, reporting mechanisms or technical limits of the Platform.
Engaging in transactions to manipulate the usage statistics or system behaviors of the Platform.

Unlawful Use:

Using the Platform for activities contrary to applicable legislation, illegal transactions or the production of unlawful content.
Engaging in activities that will violate copyrights, protection of personal data or other third party rights.
Engaging in content or behavior that encourages, supports or mediates illegal activities.

Unauthorized Commercial Use:

Using the Platform for providing commercial gain outside the individual usage purpose stipulated in this Agreement.
Exploiting the Platform by using automated systems, bots or similar tools.
Unauthorized resale/restructuring of the platform or offering it as a commercial service to third parties.
Making misleading directions intended to advertise their own products or services to other users.

Violation of the Rights of Other Members and Third Parties:

Violating the privacy of other users, unlawfully collecting, using or sharing their personal data.
Using the Platform in a way that leads to harassment, threats, discrimination or disturbing behaviors.
Engaging in activities that prevent or restrict other users from benefiting from the Platform.

Causing Damage to Technical Infrastructure:

Using or uploading malicious software, viruses or codes that will disrupt the operation of the Platform.
Performing transactions that will endanger the security of the Platform or overload system resources.
Launching direct attacks on the servers, databases or other infrastructure components of the Platform (e.g., DDoS attacks, unauthorized access).
Uploading malicious software, viruses or harmful codes in a way to disrupt the operation of the Platform.
Engaging in attempts that will endanger network security (e.g., unauthorized copying or modification of data).

Violation of Intellectual Property Rights:

Violation of the intellectual property rights belonging to the Platform, Turkticaret.Net or third parties.
Engaging in reverse engineering, copying or unauthorized use attempts directed at the software, design or operation of the Platform.
Unauthorized use of Turkticaret.Net's brand, logo or other distinctive marks.

Member accepts that they will act in accordance with the applicable legislation regarding child safety and protection and the principles specified below in the use of the Platform.

Child Safety and Protection Policy:

Sharing, promoting, supporting any content for sexual abuse and exploitation of children or facilitating such activities on the Platform is strictly prohibited for any reason, and if such a violation is detected, the relevant Member account will be closed immediately and reported to the necessary authorized authorities.
It is strictly prohibited to use the services offered through the Platform in a way that will threaten the safety of minor individuals, risk their personal data or abuse them in any way, and such behaviors may result in permanent suspension of the Member's account.
Members are obliged to report any suspicious behavior they may encounter on the Platform or any content that may threaten the child's safety without delay to info@lockandkey.com.tr or through the relevant complaint mechanism of the Platform.
The Platform commits to adhering to the highest ethical standards in order to ensure child safety, and in this direction, members are required to observe and fully comply with the standards specified in the Child Safety and Protection Policy.

Turkticaret.Net may suspend the Platform and/or this Agreement for a period of time or indefinitely or terminate the services offered at any time.
Turkticaret.Net will make notifications regarding this Agreement within the Platform or to the communication address the Member has registered in the Platform on the notification date. Turkticaret.Net is not responsible for damages that may arise from the inaccuracy, invalidity, non-currency of the communication address registered in the Platform or its belonging to someone else. For the avoidance of doubt, notifications made to the communication information of the Member registered in the Platform are deemed to have reached and been notified to the Member on the date they were sent.
Member accepts, declares and undertakes that advertisements, campaigns and promotions can be published on the Platform, including the pages to which the Platform refers, and that they cannot put forward any rights, objections or requests regarding this matter.

LIMITATION OF LIABILITY

Member accepts that all rights of the software, visuals and designs, texts, logos, graphics contained in the Platform belong to Turkticaret.Net. Turkticaret.Net provides the Platform "AS IS" and does not make any claim or commitment that the Platform is error-free, flawless, uninterrupted, perfect or will fully meet the Member's specific needs. Turkticaret.Net is not responsible for any direct or indirect damages, including any loss of profit, loss of data, loss of business, loss of reputation, loss of expected savings, interruption of business, arising from the Member's use, non-use or misuse of the Platform or failure to fulfill their commitments and obligations specified in the Agreement to the extent permitted by the legislation, any compensation requests that may be made by a third party, all hardware, system software/other software and network-related functions and failures arising therefrom, communication network, internet connection, connection errors, all changes, updates and similar works to be carried out on the Platform, voltage fluctuations, battery and power outages, virus infection and similar environmental factors.
Turkticaret.Net does not accept any responsibility regarding error, negligence, deletion of data, loss, delay in operation or communication, computer virus, communication error, unauthorized entry into accounts, modification or use of accounts as a result of breach of Agreement, tort, negligence or other reasons to the extent permitted by the legislation.
In case the content created or shared by the Members, free text areas, comments, community features or similar user contributions are included within the scope of the Platform; Turkticaret.Net acts as a "hosting provider" within the scope of the Law No. 5651 on the Regulation of Publications Made on the Internet and Fighting Against Crimes Committed Through These Publications, and provided that its obligations stipulated in the applicable legislation are reserved, it is not under the obligation to pre-audit or investigate whether the said contents are accurate, up-to-date, lawful or whether they violate the rights of third parties. In this context, Member accepts that they are exclusively responsible for all kinds of content they share through the Platform, and that they are obliged to ensure that the said contents are in accordance with the law, general morality, rights of third parties and applicable legislation. Turkticaret.Net reserves the right to remove the contents that are reported to be unlawful or detected ex-officio from the Platform, to block access or to take the necessary measures regarding the relevant Member's account within the framework of the applicable legislation.
Member accepts that links may be provided to other websites and/or platforms, files or contents that are not under the control of Turkticaret.Net via the Platform, third-party services can be offered and such links do not constitute a statement or guarantee of any kind for the purpose of supporting the website or the person operating/providing the service or the website or the information it contains. Member accepts and declares that Turkticaret.Net does not have any responsibility for the platforms, websites, files and contents, services or their content accessed through the said links.
Member accepts and declares that access to the Platform and the contents offered via the Platform and their quality are largely based on the quality of the service obtained from the relevant internet service provider and that Turkticaret.Net does not have any responsibility in problems arising from the said service quality, that the operation of the Platform is not free from defects and that they may encounter technical problems or access barriers from time to time.
Member accepts, declares and undertakes that all transactions made from their own Portal are carried out exclusively and solely by themselves. Member undertakes that the Communication Channels they provide to Turkticaret.Net are Communication Channels that belong only to them and are only under their own control and that they actively use these Communication Channels. Otherwise, Member will be obliged to compensate for all kinds of material and moral damages that Turkticaret.Net may suffer due to the fact that the Communication Channels do not belong to the Member themselves or the Member does not actively use the Communication Channels.
Member accepts that this Platform belongs to Turkticaret.Net and is operated by it. Member(s) accepted that Turkticaret.Net has the legal rights regulated by the Law No. 5846 and/or Law No. 6769 regarding all kinds of information and data published, especially all text, writing, image, picture, sound clip, video, software, computer code, interface, all trademarks, logos, graphics and services on the Platform belonging to Turkticaret.Net or a third person or organization published on the Platform or accessible through the Platform and not limited to those listed here, and that these cannot be copied, changed, reproduced, published, sold or made available or interfered with without the explicit written permission of Turkticaret.Net or the relevant right holder person or organization.
All Turkticaret.Net logos, trademarks and corporate emblems published on the Platform are protected by the Law No. 6769 and relevant legislation. Any marker belonging to Turkticaret.Net, especially Turkticaret.Net logos, whether subject to legal protection or not, cannot be copied and used in any way.
The ownership of all elements forming the Platform Database and interface belongs to Turkticaret.Net and they are protected within the framework of the Law No. 6769 and relevant legislation. Members can only use the Platform within the scope of this Agreement for the purpose of benefiting from Turkticaret.Net services. Copying any content or information contained in the database of the Platform or reached via the interface, transferring them to other databases, opening them to the access of third parties is unlawful. Turkticaret.Net reserves all kinds of lawsuit and request rights arising from the relevant legislation regarding the said unlawful acts and actions.
Member must also comply with additional notifications, warnings and restrictions regarding copyrights related to the Platform or content accessible through the Platform. Any use, processing, representation, sale, distribution, marketing, rental, utilization by representation, publication/broadcast, placing in commerce, reproduction, modification, translation, dissemination, falsification, public showing, exhibition, uploading to a website, publishing on the internet, transmission to the public with tools serving for character, sound and/or image transfer, re-transmission and distribution or use and utilization of the Platform or any of its contents as a whole or partially in other ways, which is not explicitly stated in this Agreement and without an explicit and written permission by Turkticaret.Net, is prohibited. Turkticaret.Net reserved its copyrights within the meaning of Art. 36 of FSEK No. 5846 on text, writing, image, picture, sound clip, video, software program, computer code, trademarks, logos, en masse, this Platform and similar elements, not limited to those listed in this paragraph. The specified elements cannot be used without obtaining the explicit written permission of the Platform, even if they are shown as a source or reference.

PRICING, SERVICES AND SUBSCRIPTION PROVISIONS

The services offered within the scope of the Platform may be subject to different modes, features and usage limits, including free (freemium) and paid (premium). Which module, feature or service is free or paid is separately specified on the Platform, in-app screens or relevant information texts.
Modules and features offered within the scope of freemium services may be restricted with usage period, number of modules, reporting scope or similar technical and functional limits. Turkticaret.Net reserves the right to change, narrow or terminate the scope of freemium services provided that it is in accordance with the legislation.
Premium services are services that are offered for a certain fee and provide additional modules, features, usage rights or reporting opportunities compared to freemium services. The scope, duration and fee of premium services are clearly stated on the Platform.
The services offered within the scope of the Platform can be offered through modules and/or modes created for different usage purposes and scenarios. These modules and modes can include functions such as (i) encrypted module, (ii) focus module, (iii) strategic study module, (iv) alarm mode, (v) travel mode, (vi) reporting feature and similar.
Which of the said modules and modes will be offered as free (freemium) or paid (premium), which usage limits they will be subject to, which features they will contain and under which conditions they will be accessible will be specified on the Platform, in-app information or relevant explanation texts. Turkticaret.Net reserves the right to change the scope, status and terms of use of modules and modes provided that it is in accordance with the legislation.
Fees for premium services are collected through the Platform, through relevant application stores (Apple App Store, Google Play Store) or other payment methods determined by Turkticaret.Net. Member accepts that payment transactions may be subject to the conditions and policies of relevant application stores or payment service providers.
Premium services are offered under the subscription model that is valid for a certain period of time, unless otherwise clearly stated. Member accepts that the subscription will be automatically renewed if it is not cancelled at the end of the relevant period.
Member can cancel their premium subscription at any time through the relevant application store account settings or the methods specified on the Platform. The cancellation process takes effect at the end of the relevant subscription period. In this context, no refund is made for the fees paid until the cancellation date, provided that the current legislation and application store policies are reserved.
Cancellation, return and refund requests for purchase and subscription transactions carried out through application stores are subject to the return and refund policies of the relevant application store (Apple App Store / Google Play Store).
Turkticaret.Net reserves the right to change the fees and subscription conditions for premium services in a way that will be effective in the future, provided that it is in accordance with the legislation. Fee changes will be notified to the Member through the Platform before they enter into force. In case the Member does not accept the current fees and conditions, their right not to renew or cancel the subscription is reserved.
In case the Member acts contrary to this Agreement, Platform rules or applicable legislation during the use of premium services, Turkticaret.Net reserves the right to suspend or terminate premium services. In this case, provided that the current legislation is reserved, Member cannot claim any fee refund.
Benefiting from premium or freemium services will not mean that the Platform gives any guarantee or commitment that it will work at a certain performance level, or that the Member will reach a certain success, efficiency or result.

TERMINATION OF MEMBERSHIP PROVISIONS

Member can terminate their membership at any time through the account settings on the Platform or the methods specified on the Platform. In case of termination of membership, the Member's access to the Platform is terminated.
In case of termination of membership by the Member and if the Member has an ongoing premium subscription, the said subscription remains valid until the end of the relevant subscription period.
In case Turkticaret.Net detects that the Member has acted contrary to this Agreement, Platform rules or applicable legislation, it reserves the right to temporarily suspend or permanently close the Member's account.
Termination of membership or closing of the account does not eliminate the limitation of liability, intellectual property rights, confidentiality, rights and obligations regarding the protection of personal data arising within the scope of this Agreement of the Parties.
In case of termination of membership or closing of the account, the processes of processing, storage and deletion/destruction of the Member's personal data are carried out in accordance with the applicable legislation on the protection of personal data.
Turkticaret.Net will take care to notify the Member through the Platform a reasonable time in advance in case it terminates all or part of the Platform for technical, commercial or legal reasons. In this case, provided that the current legislation is reserved, Member cannot make any claim for compensation or additional rights.

INTELLECTUAL PROPERTY RIGHTS

Turkticaret.Net accepts to give the Member a non-exclusive and non-transferable right of use (simple license) limited to the Agreement period in order to be able to use the Platform in accordance with the Agreement and Platform rules, and this limited right of use granted to the Member cannot be interpreted in a way to limit Turkticaret.Net's free use of all other rights, especially the right to grant licenses to others.

BREACH OF OBLIGATIONS

In case the Member does not comply with this Agreement and the policies and rules that can be separately specified within the Platform, the Member's activities constitute a risk in terms of legal, technical and information security, or they violate their obligations regarding membership, or without any reason, Turkticaret.Net may temporarily or permanently terminate the Member's benefiting from the Platform without paying any fee or compensation.
Without the need for any violation or justified reason, the Parties may terminate the Agreement immediately at any time without the need for any notification.

DISPUTE RESOLUTION

Turkish law shall be applied in the implementation, interpretation of this Agreement and management of the legal relations arising within the Agreement and also in the resolution of disputes, and the Member has the right to apply to Consumer Arbitration Committees in the place of residence of the Member or Turkticaret.Net up to the value declared by the Ministry of Commerce of the Republic of Turkey every year in their applications regarding all kinds of complaints and objections related to the subject of this Agreement and in other disputes that may arise related to this Agreement, and to Consumer Courts for disputes above the said value.

MISCELLANEOUS PROVISIONS

The partial or total invalidity, non-compliance with the current legislation or non-applicability of any provision of this Agreement does not affect the validity and enforceability of the remaining part of the Agreement.
Member can convey their questions, complaints, requests and feedback to info@lockandkey.com.tr via e-mail or directly fill in the communication form on the website with www.lockandkey.com.tr and www.lockandkeyapp.co.uk extension or within the Platform.
Situations such as natural disasters, riots, wars, strikes, lockouts, failures originating from telecommunications infrastructure, power outages and bad weather conditions that develop outside the control of the Parties and prevent and/or delay the Parties from fulfilling their obligations in this Agreement, including but not limited to these, will be interpreted as Force Majeure and the performances of the Parties will be suspended during the Force Majeure. If Force Majeure prevents or delays Turkticaret.Net from performing its obligations arising from this Agreement, Turkticaret.Net cannot be held responsible for its obligations that are prevented or delayed as a result of Force Majeure and this situation cannot be accepted as a violation of this Agreement.
The Parties accept that in disputes that may arise from this Agreement, Turkticaret.Net's electronic records, logs, system records and other documents and records will constitute evidence within the scope of Art. 193 of the Code of Civil Procedure.
Non-use or late use of a right under this Agreement by any of the Parties does not mean that it waives the said right.
Member cannot transfer this Agreement or their rights and obligations arising from the Agreement to third parties without the written approval of Turkticaret.Net.
In case any article in this Agreement is declared invalid or inapplicable by a competent court or board, the said provision will be replaced with a valid provision close to the purpose of the Agreement.
